Terms of Service

Effective October 18, 2026 · Ask Odell is a product of The Agency LLC (“we,” “us”), Snohomish, Washington.

1. The service

Ask Odell is a company-knowledge service: it conducts structured interviews, ingests documents and data feeds, organizes the resulting knowledge into permissioned cabinets, and answers authorized users' questions from approved knowledge with citations. Ask Odell is a knowledge tool. It is not a CRM, dispatch, scheduling, invoicing, payroll, or purchasing system, and it does not take actions in other systems on a customer's behalf.

2. Answers are only as good as the knowledge

Odell answers from the knowledge a customer has approved. Answers may be incomplete or wrong where the underlying knowledge is incomplete or wrong; customers are responsible for their approval decisions and for verifying answers before relying on them for safety-critical, legal, medical, or financial decisions. Where Odell has no approved knowledge, it is designed to decline rather than improvise.

3. Customer knowledge and ownership

Knowledge, documents, and data a customer provides or generates in the service (“Customer Knowledge”) remain the customer's property. The customer grants us the limited right to store, process, and transmit Customer Knowledge solely to operate the service for that customer. We will not use Customer Knowledge to train models or for any other customer's benefit.

4. Accounts and permissions

Customers control who receives accounts and what each account may access. Customers are responsible for activity under their accounts and for keeping their permission settings accurate. Owner-level accounts can access all of that customer's knowledge by design.

5. Acceptable use

Users may not use the service to store or retrieve knowledge in violation of law, to infringe others' rights, to attempt to bypass permission controls, or to extract another customer's data. We may suspend access for misuse.

6. Plans, fees, and usage

Commercial terms (onboarding, monthly fees, usage allowances, overage, voice minutes, and lane-specific terms for Managed, Lease, and Dedicated arrangements) are set in each customer's written agreement or order. Usage allowances are metered and are not unlimited.

7. Availability and changes

We work to keep the service available and monitored, but we do not guarantee uninterrupted availability. We may improve or change features; material changes to these terms will be posted here with a new effective date.

8. Liability

To the maximum extent permitted by law, our liability arising from the service is limited to the amounts the customer paid for the service in the twelve months before the claim, and neither party is liable for indirect or consequential damages. Nothing in these terms limits liability that cannot be limited by law.

9. Governing law

These terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Washington.
